Frequently Asked Questions for the ITUA


  1. What is the purpose of the Intercampus Transfer & Use Acknowledgment (ITUA)? 

The purpose of the ITUA is streamlined sharing of material and data shared by the University of California (UC) amongst UC campuses and locations. Leveraging a common form set with standardized terms cause UC to expedite sharing its own materials and data with its own researchers. 

 

  1. What is an ITUA?

The ITUA template form is a novel concept, a fusion of two common agreement templates, a Material Transfer Agreement (MTA) and a Data Transfer and Use Agreement (DTUA), adopted for implementation by a multi-site, single legal entity (i.e., The Regents of the University of California). Since all UC locations are one legal entity, the ITUA is not designed to be a legally-enforceable contract between parties.

 

  1. What Materials and Data Can Be Shared Using the ITUA?

All UC-owned research materials and data can be shared amongst UC locations under an ITUA. The only materials and data that cannot be shared using the ITUA are those assets not owned by UC. 

 

  1. What Parties Can Use the ITUA? 

The ITUA is designed for use only by UC locations. UC locations are not permitted to modify the ITUA to include non-UC third parties. For example, the ITUA does not include terms for insurance or indemnification requirements because UC as one single entity cannot insure nor indemnify itself.  

 

  1. How Many UC Locations Can Use One ITUA?

As many as needed! The ITUA is designed to fit the needs of the project. If the sharing is a one-way transfer of plasmids from UC Merced to UC Riverside, the ITUA can be used. If the sharing is a 5-way, reciprocal sharing of patient image data across the five UC Cancer Centers, the ITUA can be used.   

 

  1. Should Our Campus Still Use the Older UC Intercampus MTA Template?

No. The previous Intercampus MTA template has exceeded its functional lifetime. 

 

  1. What About Terms from the Older UC Intercampus MTA Template that Aren’t in the ITUA?

The only term from the older intercampus MTA template that was not included in the ITUA concerned reimbursement of costs for shipping transferred materials. Nothing in the ITUA prohibits a location from recouping those costs moving forward. Impacted units should work with their contracting offices to ensure those costs are addressed in the ITUA on a case-by-case basis.

This ITUA form is a designated template for UC systemwide use to memorialize the sharing of UC data and material research assets between UC locations. May not be used for sharing Assets with non-UC parties or sharing non-UC assets between UC locations.
