This document is provided to you in conjunction with the INSERT DATE Agreement between The Ellison Medical Foundation and The Regents of the University of California (“University”), in regard to an Award by The Ellison Medical Foundation to the University’s <<NAME>> campus that is being made to provide funding to Dr. <<Name>>’s four-year project titled: INSERT TITLE.

Pursuant to Section 2(D) of the Agreement, to the fullest extent permitted by [citation of applicable state law], the University agrees to defend, indemnify and hold harmless The Ellison Medical Foundation from and against any and all liability, loss, expense (including reasonable attorneys’ fees), or claims for injury or damages arising out of or resulting from, or alleged to arise out of or result from, the University’s performance of the Project or any negligent, grossly negligent, reckless or willful acts or omissions of the University or its officers, agents, or employees contractors or subcontractors, contractors or subcontractors..
