Subject: Ellison Medical Foundation and Bernard Osher Foundation – Indemnification Terms
The Ellison Medical Foundation and the Bernard Osher Foundation have recently agreed to modifications to the indemnification terms in
their grant agreements. The approved modifications limit the University’s liability to the University’s actions, eliminating third party liability.
Foundation approved revisions of these terms are attached to this memo. You will note that these approved revisions are made to the
Foundations’ current versions of these terms. We do not know if future Foundation agreements will incorporate the new language negotiated
with the University or continue to have the Foundations’ standard clauses, requiring you to make and initial the approved changes to their
standard agreements.
